Welcome to the FoLA website (the “Site”). By accessing, browsing, or using this Site, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use this Site.

1. User Information and Account Registration

To access certain features of the Site, such as submitting a bid or applying as an artist, you may be required to register an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. FoLA reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, fraudulent, or in violation of these Terms. 

2. User Conduct

When using the Site, you agree not to: 

  1. Impersonate any person or entity or provide fraudulent information. 

  2. Use any automated system (robots, scrapers, spiders) to access the Site. 

  3. Engage in any illegal, harmful, or defamatory activity. 

  4. Distribute viruses, malware, or other harmful code. 

  5. Collect or harvest personal information of other users.

3. Electronic Communication

By using this Site or providing your email address, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. 

4. Intellectual Property and Proprietary Rights

As between you and FoLA, FoLA owns, solely and exclusively, all right, title, and interest in and to the Site, platform, and all elements thereof, including:

  1. All content (including, without limitation, audio, images, photographs, illustrations, text, graphics, logos, button icons, other visuals, video, copy, trademarks, and service marks); 

  2. Software, source code, data, and materials used therein or available thereon; 

  3. The look and feel, design, and organization of the platform; 

  4. The compilation of the content, code, data, and materials on the platform; 

  5. All copyrights, trademark rights, patent rights, database rights, trade secrets, moral rights (including rights of authorship, attribution, and subsequent modification), and other intellectual property and proprietary rights (whether registered or unregistered in any jurisdiction) in any of the foregoing. 

Your use of the FoLA platform does not grant you any right, title, or interest in any element thereof, and FoLA (or our applicable licensors, partners, or affiliates) owns and retains all right, title, and interest (including all intellectual property and proprietary rights) therein and thereto.

All content on this Site, including but not limited to text, images, illustrations, audio clips, and video clips, is the exclusive property of FoLA or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, or exploit any content without FoLA’s prior written consent.

5. Indemnification

You agree to indemnify, defend, and hold harmless FoLA, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees and costs, arising out of or in any way connected with: 

  1. Your access to or use of the Site. 

  2. Your violation of these Terms. 

  3. Your violation of any third-party right, including without limitation any intellectual property, property, or privacy right. 

  4. Any claim that your use of the Site caused damage to a third party. 

6. Disclaimer of Warranties

The Site and all content, software, and services offered through the Site are provided on an "AS IS" and "AS AVAILABLE" basis. FoLA makes no representations or warranties of any kind, express or implied, as to the operation of the Site or the accuracy, completeness, or reliability of the information, content, or materials included on the Site. 

7. Limitation of Liability

To the maximum extent permitted by applicable law, FoLA shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of or inability to use the Site, even if FoLA has been advised of the possibility of such damages. 

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
